SOUTH COVE BOARD MINUTES
August 18, 2004

Meeting called to order at 7:10 PM by Mark Southern.
Minutes Don read the July 04 minutes; approved as read.
Treasurer’s Report Jill reported an account balance of $19,447.00.
Dues Increase
187 ballots received; 173 required for a quorum.
154 approved dues increase; 33 disapproved dues increase.
9 ballots deemed invalid due to lack of lot number identifying voter.
In order for the dues increase to $225 to pass, the requirements were a 60% quorum, and a 66% approval rate of those voting. Both requirements were met, so the upcoming dues billing (for dues due 11/1/2004) will be for $225.
2004 Rules & Regulations (Craig, Thomas, Jeff)
The Rules committee provided wording for the recommended one line change to Article VIII of the South Cove Bylaws document. The change would allow covenants and restrictions from our Covenants document to be repeated word for word in our Rules and Regulations document. Since state law enables HOAs to adopt penalty schedules for rules and regulations violations, many Associations mirror their Covenants and Restrictions into their Rules and Regulations. For some covenant violations, such as a boat or trailer stored openly, applying a pre-approved penalty schedule would be a simpler and more appropriate response than filing a lawsuit or filing for binding arbitration.
Thomas Marquis moved that the Board recommend Article VIII, section one, paragraph (a) of the bylaws be changed by inserting the underlined words.
Section One: Powers: The Board of Directors shall have the power to:
(a) adopt and publish rules and regulations reflecting the covenants and restrictions, and governing the use of the Common Areas and facilities, and the personal conduct of the Members and their guests thereon, and to establish penalties for the infraction thereof;
The motion was seconded and passed unanimously. It will therefore appear on the proxy ballot to be distributed with the fall newsletter, and be voted upon at the Annual meeting.
For this change to be
approved, we must receive votes for 20% of the homeowners, with a 66% approval rate
of those voting.
Note: There had been some discussion at the
previous board meeting and over email of limiting the scope to allow only Articles
III and IV of the Declaration to be reflected, since these are the sections
which describe the Covenants and Restrictions. However, David Bangs noted that one of our
restrictions, namely the open storage of boats and trailers, is not within the scope
of Articles III and IV. The final
language “reflecting the covenants and restrictions” is intended to be
inclusive enough to allow any policy from our Covenants and Restrictions to be
written into the Rules and Regulations.
Parks and Landscaping (Rod, Don)
The Board continued discussions about new trees for the park, and voted to select two deciduous trees for the park. A Raywood Ash was selected for installation close to the playground, and the second tree, which will be placed across the path from the cottonwood by the beach, is still being researched.
Beach
The Board sends a heartfelt thanks to all the residents who showed up to help spread the beach sand a couple months ago. The mountain of sand was quickly spread throughout the beach in a couple of hours due to the 30+ residents who showed up to help. Thank you!
Craig provided two samples of flotation buoys for the beach. The Board selected the one- piece “yellow buoy.” Discussion followed about how to properly secure the buoys along the rope. Craig will return with some suggestions.
Architectural Control Committee (Mark, Thomas, Jeff)
Mark reported only one ACC request for a fence, which was approved.
Mark provided three additional roofing samples for the Board’s consideration. Below are the newly-approved roofing shingles, which will be added to the list of already-approved roofing materials. The differences between the selections below are the price, weight and the cut of the shakes:

Government Affairs/SLSA (David, Thomas, Jeff, Rod)
David reported that the Issaquah annexation is still an ongoing process. Mayor Frisinger has told Joan Probala that given the complexity of solving the financial shortfall, the issue will no likely appear on the ballot until November 2006. David and other SLSA members will continue to follow the issue, and do what they can to encourage earliest possible action.
SLSA (South
At the last SLSA meeting, the group discussed a need for more structure in the form of standing rules and a fixed per-home contribution to be paid by member associations. The standing rules will describe how HOAs should appoint voting representatives to SLSA on an annual basis. A board member suggested that larger HOAs should get a larger vote than smaller associations, since some associations have as few as 20 members while South Cove has 289 members. David Bangs, who will draft the standing rules, said he will write in that each Association is entitled to one vote, plus an additional vote for every 50 homeowners.
David moved that South Cove approve an annual SLSA contribution of up to 50 cents per home ($144.50) per year pursuant to the adoption of SLSA standing rules, acceptable to the South Cove Board, in which the vote per HOA is proportionate to membership. The motion carried.
Other Issues
The Board approved $75.00 to be given to the Meerwood HOA for their Aug 23rd Ice Cream Social.
